SpaceX<\/a> has wiped out more than $1 trillion in market capitalization in the seven weeks following its public market debut, as a steep stock decline leaves employee fortunes largely trapped behind a phased lockup schedule.<\/p>\n

Shares of the commercial space contractor fell below $110, down sharply from a record peak of $225.64 reached four days after listing. The company priced its initial public offering on June 12 at $135 per share, establishing an initial valuation of $1.8 trillion. An opening rally pushed the stock to close near $161 on its first day, lifting its market capitalization past $2.1 trillion before the downturn reversed those gains.<\/p>\n

The price collapse leaves the stock significantly below its IPO benchmark, curtailing paper wealth for thousands of staff members unable to sell into early momentum.<\/p>\n

Unlike traditional public offerings that enforce a uniform 180-day restriction, SpaceX implemented a staggered release schedule for insider equity. Initial tranches become eligible for transfer following second-quarter earnings reports, followed by autumn unlocks ahead of the primary lockup expiration in December. Certain insider holdings, including those owned by Chief Executive Officer Elon Musk<\/a>, remain restricted until June 2027. Trading windows, corporate blackout periods, and federal securities restrictions continue to dictate the exact timing of insider transactions.<\/p>\n

The sharp pullback in valuation recalibrates tax calculations and estate planning strategies for equity holders. The decline in fair market value reduces the spread on incentive stock options, effectively lowering Alternative Minimum Tax exposure for employees initiating long-term holding periods. Furthermore, stock issued during SpaceX\u2019s early growth stages may qualify for the federal Qualified Small Business Stock exclusion, which allows eligible holders to exempt significant capital gains from federal tax prior to liquidation.<\/p>\n

State tax liabilities remain tied to where historical duties were performed. California tax rules dictate that compensation derived from equity grants remains taxable by the state based on work location during the vesting period, regardless of whether an employee changes residency prior to executing a sale.<\/p>\n
