Coinbase Opens IPO Access to U.S. Retail Investors

Retail traders can seek IPO shares before public-market debut

Coinbase Global Inc. is expanding beyond cryptocurrency trading by launching a primary-market service that allows U.S. retail traders to purchase shares in initial public offerings before open-market trading begins. The move challenges Wall Street’s traditional separation between institutional book-building and main-street investors.

The service debuts with the initial public offering of health-technology company Oura. In registration details for its planned Nasdaq Stock Market listing under the ticker symbol “OURA,” the smart-ring manufacturer intends to offer 50 million shares of common stock at an expected price range of $40 to $44 per share.

Eligible U.S. users can access a dedicated IPO portal in the Coinbase mobile application after an issuer establishes its prospective price range. They must fully fund their accounts and submit a “Conditional Offer to Buy.”

Historically, investment banking syndicates have allocated primary equity shares in corporate IPOs predominantly to institutional asset managers, hedge funds, and high-net-worth wealth clients. Retail buyers have generally been able to purchase shares only after public trading commences, often at a premium.

Coinbase’s prospective allocation algorithm is designed to address the tendency of retail investors to rapidly liquidate newly issued stock, a practice known in capital markets as “flipping.” The system is intended to penalize short-term trading behavior while prioritizing buy-and-hold accounts.

Customers who sell allocated IPO shares within 30 days of a stock’s market debut risk a 60-day suspension from participating in subsequent public offerings. Investors who repeatedly flip shares during that initial window will receive lower allocation priorities and smaller share quantities than users demonstrating longer holding periods.

Federal securities regulations require participants to complete a standardized questionnaire administered under Financial Industry Regulatory Authority (FINRA) rules. The questionnaire verifies investor eligibility and screens for restricted status under regulations governing public offering distributions, including FINRA Rule 5130 and Rule 5131.

A conditional offer does not guarantee that an investor will receive shares. Fulfillments depend on total retail demand and the aggregate share volume Coinbase secures from the offering’s underwriting syndicate, with orders subject to full, partial, or zero allocations. Applicants may modify or withdraw conditional purchase orders while the offering’s order book remains open.

Once underwriters finalize pricing, allocated equity is booked at the final offering price. The shares become fully tradable when public trading starts on the listing exchange.

The entry into primary equity underwriting allocations marks a significant operational shift for digital asset venues, which have traditionally relied on transaction fees from spot and derivatives trading of cryptocurrencies. To comply with U.S. financial regulations, Coinbase established structural firewalls between its brokerage activities and its core spot cryptocurrency operations.

The equity allocation service operates through a dedicated financial services subsidiary separate from Coinbase Inc., the entity that manages digital asset trading and custody services. The primary offering feature is the latest component in Coinbase’s broader commercial strategy to build what it calls an “Everything Exchange”—a single interface integrating digital assets, traditional equities, derivatives, and prediction markets.

Coinbase recently submitted regulatory filings in the U.S. to introduce perpetual futures contracts tied to mega-cap equities, including Apple Inc., Tesla Inc., and Nvidia Corp. Those derivative products are structured to offer price exposure to equity movements without conferring direct corporate share ownership.

The company has also pursued a multi-jurisdictional expansion strategy. Outside the U.S., Coinbase has introduced tokenized equities for eligible international users and secured regulatory authorization to offer conventional equities and derivatives products in the United Kingdom.

Coinbase has announced plans to expand a combined suite of traditional stock trading, cryptocurrency services, and prediction markets into the Canadian financial market.
